Terms of Service

1. Acceptance of Terms

By accessing or using PingPTO ("the Service"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms. If you do not agree, you may not use the Service.

2. Description of Service

PingPTO is a cloud-based platform for managing employee leave (PTO, sick leave, and custom leave types), reimbursements, and related HR workflows. The Service includes a web application, API integrations, and optional third-party integrations (e.g., Slack).

3. Accounts and Registration

To use the Service, you must create an account or accept an invitation from a workspace administrator. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

4. Workspace and Data Ownership

Each organization operates within its own workspace. The workspace administrator controls access, roles, and data within that workspace. You retain ownership of all data you input into the Service. We do not claim any ownership rights over your content.

5. Acceptable Use

You agree not to:

Use the Service for any illegal purpose or in violation of applicable laws; attempt to gain unauthorized access to other accounts, workspaces, or our systems; upload malicious code, viruses, or harmful content; interfere with or disrupt the Service or servers; use the Service to store or transmit content that infringes third-party intellectual property rights; resell, sublicense, or redistribute the Service without our prior written consent.

6. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance, and the Service may be temporarily unavailable due to factors beyond our control. We will make reasonable efforts to notify you of planned downtime.

7. Pricing and Payment

PingPTO offers a free tier and paid plans. Pricing details are available on our website and may change with reasonable notice. Paid subscriptions are billed in advance. Refunds are handled on a case-by-case basis. We reserve the right to modify pricing with at least 30 days' notice before the next billing cycle.

8. Intellectual Property

The Service, including its design, code, features, and documentation, is owned by PingPTO and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these terms.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

10. Limitation of Liability

To the maximum extent permitted by law, PingPTO shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Service. Our total liability for any claims related to the Service shall not exceed the amount you paid us in the twelve months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or uninterrupted.

12. Termination

Either party may terminate the use of the Service at any time. We may suspend or terminate your access if you violate these terms or if required by law. Upon termination, your right to use the Service ceases immediately. Workspace administrators can export their data before termination.

13. Changes to Terms

We may modify these terms at any time. Material changes will be communicated via email or through the Service. Continued use after changes take effect constitutes your acceptance of the revised terms.

14. Governing Law

These terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these terms or the Service shall be resolved in the courts of Delaware.
